With tips on legal and practical matters, the ebook is a step-by-step guide on how to formalize projects in the third sector
The Lupa do Bem portal recently launched the ebook “Como começar uma ONG” (“How to Start an NGO”, in English) a step-by-step guide on the legal formalization of projects aimed at positive social impact. The idea arose from the close relationship we established with collectives, projects and NGOs mapped by our platform. Therefore, it’s a new guide aimed at strengthening these initiatives.
“We are constantly in touch to understand their greatest needs. We identified two main difficulties. The first was fundraising, which we addressed in our first ebook. The second is the lack of formalization needed to facilitate this fundraising”, says Fabiana Rosa, coordinator of Lupa do Bem.
“This guide aims to help understand the importance of having a CNPJ* (Cadastro Nacional da Pessoa Jurídica, “Brazilian legal entity registration”, in English). Why is it necessary to operate within these boundaries and how to make it happen? It’s an initial and structural step for these initiatives to solidify within the third sector”, she adds.
*CNPJ is a Brazilian tax identification number used by businesses, organizations, and nonprofits for legal and financial purposes.
Resource Mobilization
According to the latest survey by Instituto de Pesquisa Econômica Aplicada (IPEA), there are approximately 880,000 civil society organizations in Brazil currently, representing an increase of 7.8% compared to 2021. Despite this growth in the third sector, it is noteworthy, however, the number of collectives and projects that are still not registered.
As a result, many innovative actions that could bring benefits to society and the environment are weakened along the way. A study conducted by the PIPA Initiative and Phomenta in 2023, for example, revealed that the lack of formalization hindered access to grants for fundraising for 58% of these initiatives.
“The ebook aims to provide technical assistance in understanding these administrative and legal issues, which can sometimes be complex, but we try to simplify. We show pathways to at least take the initial steps towards project formalization” says the coordinator.
Legal Formalization
The guide is recommended for both collectives and projects that are starting their activities and for organizations that have already developed their initial ideas and seek to strengthen a regulated institution.
“There are many companies interested in engaging with NGOs, making donations, developing campaigns and corporate social responsibility projects. However, many projects that are not formalized struggle to receive these funds”, warns Fabiana.
She points out that Lupa do Bem is a project by Sherlock Communications that connects organizations with companies willing to form partnerships and many of these organizations face difficulties in fundraising processes.
“Some NGOs, despite understanding how to fundraise, still do not have a CNPJ. The ebook addresses this gap. It’s a guide on what needs to be done to qualify for incentives and grow”, she states.
How to start a NGO
With accessible language and interactive navigation, the ebook covers everything from the laws governing the third sector and the different forms of organizational structures, to obtaining a CNPJ and initial costs. It also includes a suggested action plan and a model social statute, along with explanatory videos on the subject.
Among its highlights, the ebook clarifies the differences between the acronyms OSC, NGO and OSCIP. “This will help initiatives understand more clearly the path they should follow and where exactly they fit within the third sector”, explains Fabiana.
The ebook was developed in partnership with social manager Silvia Rangel, a consultancy specialized in the third sector. Its aim is to fill a gap in publications currently available on the topic.
“When we began researching the subject, we found that the information available was quite basic. Our intention here is not to replace consultancy services; on the contrary, NGOs need a specialized third sector accountant. But we have taken a few extra steps. Our material provides a compilation of detailed information”, concludes the coordinator of Lupa do Bem.

Con consejos sobre cuestiones jurídicas y distintas prácticas, el ebook es una guía paso a paso sobre cómo formalizar proyectos en el tercer sector
El portal Lupa do Bem acaba de lanzar el ebook «Cómo crear una ONG», una guía paso a paso para la formalización legal de proyectos de impacto social positivo. La idea surgió tras la estrecha relación que hemos establecido con colectivos, proyectos y ONGs mapeados por la plataforma. Se trata, por lo tanto, de una nueva guía para fortalecer estas iniciativas.
«Estamos en contacto permanente para conocer sus mayores necesidades. E identificamos dos dificultades principales. La primera era la recaudación de fondos, que tratamos en nuestro primer ebook. La segunda es la falta de formalización para poder hacerlo”, explica Fabiana Rosa, coordinadora de Lupa do Bem.
«Esta guía pretende ayudar a entender la importancia de tener un CNPJ. ¿Por qué es necesario tenerlo y cómo conseguirlo? Es un paso inicial y estructural para que estas iniciativas se consoliden dentro del tercer sector”, afirma Rosa.
Recaudación de fondos
Según la última encuesta del IPEA, en Brasil existen actualmente cerca de 880.000 organizaciones de la sociedad civil, lo que representa un aumento del 7,8% respecto a 2021. Sin embargo, a pesar de esta expansión del tercer sector, es notable que muchos grupos y proyectos aún no están regularizados.
Como resultado, muchas acciones innovadoras que podrían aportar beneficios a la sociedad y al medio ambiente se debilitan por el camino. Un estudio realizado por la Iniciativa PIPA y Phomenta en 2023 revelaba, por ejemplo, que la falta de formalización dificultaba el acceso a convocatorias de financiación del 58% de estas iniciativas.
«El ebook pretende ayudar de una forma más técnica a entender estas cuestiones administrativas y legales, que a veces pueden ser complejas, pero que intentamos hacer un poco más fáciles. Mostramos formas de, al menos, dar los primeros pasos para formalizar el proyecto”, explica la coordinadora de Lupa do Bem.
Formalización legal
La guía es adecuada tanto para colectivos y proyectos que están empezando, como para aquellas organizaciones que ya han desarrollado sus ideas iniciales y buscan fortalecer una institución regularizada.
«Muchas empresas quieren comprometerse con las ONG, hacer donaciones, desarrollar campañas y proyectos de responsabilidad social corporativa. Sin embargo, muchos proyectos que no están formalizados no pueden recibir estos fondos”, advierte Fabiana.
Recuerda que Lupa do Bem es un proyecto de Sherlock Communications que ha estado conectando organizaciones con empresas dispuestas a establecer asociaciones y que muchas de estas organizaciones se enfrentan a dificultades en el proceso de recaudación de fondos.
«Algunas ONGs, a pesar de ya entender el proceso de recaudación de fondos, todavía no tienen un CNPJ. El ebook surgió por esto. Es una guía de lo que hay que hacer para recibir incentivos y crecer”, explica Rosa.
Cómo crear una ONG
Con un lenguaje accesible y una navegación interactiva, el ebook abarca desde las leyes que rigen el tercer sector y las distintas formas de organización, hasta cómo obtener un CNPJ y los costes iniciales. También incluye un plan de acción y un modelo de estatutos, así como videos explicativos sobre el tema.
Entre los puntos destacados, el ebook explica las diferencias entre las siglas OSC, ONG y OSCIP. «Esto ayudará a las iniciativas a comprender de forma más objetiva el camino que deben seguir y dónde encajarán exactamente dentro del tercer sector», explica Fabiana.
El ebook ha sido elaborado en colaboración con la gestora social Silvia Rangel, una consultora especializada en el tercer sector. El objetivo es precisamente llenar un vacío en las publicaciones encontradas sobre el tema.
«Cuando empezamos a investigar sobre el tema, nos dimos cuenta de que la información era muy inicial. Nuestra intención no es prescindir de la consultoría, al contrario, las ONG necesitan tener un contador específico en el tercer sector. Pero hemos ido unos pasos más allá. Nuestro material ofrece una recopilación de información detallada”, concluye la coordinadora de Lupa do Bem.
